The purposes and functions of commercial law are designed to promote individual liberty, maintain economic growth and development, provide protection for workers and consumers, provide compensation for injuries suffered, and resolve disputes involving companies and their various relationships and interactions with other entities. Although some aspects are self-explanatory, a brief review of the basic objectives of commercial law will reveal the breadth of the subject. These objectives are achieved through the application of the legal system to deal with a wide range of situations that can arise from, among other things, the production, transportation, processing, distribution, and consumption of goods and services. In this context, it should be noted that the purposes of commercial law are not limited to those enumerated above, but can extend to issues relating to the production, transportation, processing, distribution, consumption, marketing, advertising, and the social aspects of commercial activity. This law thus covers the broad spectrum of activities conducted by companies both large and small-from those engaged in sole trading to those involved in multiple transactions with many other companies. The purposes and functions of commercial law therefore include maintaining orderly competition, protecting economic rights and freedoms, establishing legally binding standards, protecting consumers, maximizing productivity, increasing consumer confidence, preventing monopolies and agreements damaging to the interests of the consuming public, and adjudicating disputes between businesses and consumers. The departments and agencies of commercial law are required to develop a written code of conduct that these agencies will apply consistently in resolving disputes, providing evidence in cases of disputes involving third parties, ensuring compliance with applicable laws and regulations, ensuring compliance with ethical and moral principles of conduct, and protecting the economic welfare of consumers. There are also other specific purposes and functions associated with the purposes and functions described above. For example, there are rules and regulations regarding the protection of employees (such as minimum wage laws, workers compensation, and employment discrimination laws), buyers (such as consumers), creditors, debtors, exporters, and foreign investment. The purpose of the departments and agencies of commercial law is to promote efficient and effective operation of the business community, ensure the protection and welfare of the consumers, provide the means for dispute resolution between businesses and consumers, maintain competitiveness, protect against practices detrimental to the welfare of the market, and prevent and reduce corruption. The department responsible for these purposes is referred to as the Department of LSE(London Employment Tribunal). The Department of LSE was established in 2000 to fill the gap between the Department of Employment and the Legal Services Authority that had been created to address the needs of the stakeholders and protect the interests of the consumers. It is the sole regulator and authority for the regulation of commercial activities in England and Wales. The primary functions and purposes of the Department of LSE are to protect the interests of the consumers and to promote efficiency in the supply system. It enforces fair and competitive rates for businesses that buy goods and services from suppliers. For the purpose-driven businesses, this means that when a proposal is put forward by a supplier, it is scrutinized by the Department of LSE before a decision is made. To achieve this purpose-driven businesses must adhere to all the policy frameworks set out by the Department of LSE and comply with the necessary licensing criteria. The Department of LSE also regulates the duration and term of contracts entered into by the purpose-driven organization and its customers. Contracts entered into for an indefinite or longer term can be considered for unfair competition if they result in lower prices for the consumers. In addition, contracts entered into for a shorter period of time may no longer serve the purpose of the consumer's requirements. Contracts entered into by the purpose-driven organizations and consumers have to be in line with the Fair Trading Act and European Union regulations. Furthermore, the Department of LSE enforces the rules of the European Union when it comes to the requirement of notification to the Commission concerning anti-dumping measures. The Department of LSE also ensures that the objectives of the purpose-driven organization are attained and maintained through the formulation and revision of policies and rules. This entails that there is a continual assessment of the economic value added (VA) of the company and how it satisfies the goals and objectives of the stakeholders. Through this, the purpose-driven organization is able to determine the cost benefit of the plan and the impact on the company's revenue and profit. There is a division between two main policy areas, namely marketing and research and development. The marketing policy area seeks to maximize profit for the businesses while the research and development policy area seeks to reduce the cost and improve the efficiency of the businesses. There are also a number of policies and rules that are designed to ensure that the purpose of the business is met by the stakeholders. Most of these policies are designed to promote and maintain the economic value added of the companies. The terms and conditions governing the application of these policies are outlined in the Operating Agreement. These operating agreement's vary among the different purposes. In addition, the policyholder has the right to amend or cancel the operating agreement at any time, without the need of a vote of the shareholders. The amendment may be done through a formal notice or informal proposal. |
